These Terms of Service ("Terms") govern access to and use of the aXount suite, operated by International American Business & Testing, LLC, including Portal, Budget Story, Staff Calculator, Grant Navigator, and related aXount services.
1. Acceptance
By accessing or using aXount, you agree to these Terms. If you use aXount on behalf of a school district, organization, company, or other entity, you represent that you are authorized to bind that entity or to use aXount under that entity's authorization.
2. Contract Priority
If a separate order form, master services agreement, data protection agreement, district agreement, statement of work, or similar written agreement applies to your account, that agreement controls where it conflicts with these Terms. For district accounts, the applicable district agreement controls district-specific data ownership, retention, deletion, breach notification, student-data, confidentiality, and service commitments where it is more specific than these Terms.
3. Service Description
aXount provides software for K-12 education budgeting, staffing, grant management, compliance support, reporting, account management, and related administrative workflows. Current suite applications include Portal, Budget Story, Staff Calculator, and Grant Navigator. Features, limits, exports, integrations, credits, and workflows may vary by app, tier, role, product mode, and district authorization.
4. Accounts and Access
You must provide accurate and current account information. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You must promptly notify aXount of suspected unauthorized access, credential compromise, or security incidents affecting your account. aXount may restrict, suspend, or terminate access if we believe an account is being used in violation of these Terms, applicable law, a district agreement, a security requirement, or a product-mode restriction.
5. Product Modes and Data Restrictions
Individual / Unverified Mode must not be used to upload or process student PII, row-per-student records, SIS-derived records, IEPs, 504 records, discipline records, attendance records, student photos, student IDs, or other student-level education records. District / Verified Mode may support district-authorized student, staff, operational, financial, and education-record workflows, subject to district authorization, role-based access, data-protection terms, and applicable law.
If prohibited data is uploaded to an account or product mode that is not authorized for that data, aXount may suspend access, quarantine the data, delete the data, require remediation, or require migration to a verified district arrangement.
6. Customer Data
"Customer Data" means data, files, records, content, prompts, uploads, imports, exports, reports, notes, comments, and other information submitted to or generated through aXount by or for a customer, user, district, or organization. You retain ownership of Customer Data. You grant aXount a limited, non-exclusive license to host, process, transmit, display, generate, store, secure, support, and otherwise use Customer Data only as needed to provide, maintain, secure, improve, and support aXount, comply with law, enforce agreements, and fulfill authorized instructions.
7. User Responsibilities
You are responsible for ensuring you have the right and authority to upload, import, process, share, export, or connect Customer Data; using the correct product mode for the data you process; reviewing generated outputs before relying on them; complying with applicable district policies, grant rules, procurement rules, record-retention obligations, and privacy laws; managing authorized users, roles, exports, downloads, and downstream use of reports; and maintaining backup copies where required by your organization.
8. Acceptable Use
You may not:
- use aXount for unlawful, harmful, fraudulent, abusive, deceptive, or unauthorized activity;
- attempt to bypass authentication, authorization, role limits, district boundaries, tier limits, credit limits, usage limits, or security controls;
- probe, scan, overload, disrupt, reverse engineer, scrape, or interfere with aXount except as expressly authorized in writing;
- upload malware, exploit code, secrets you are not authorized to process, or data that violates these Terms;
- sell, sublicense, resell, or provide aXount as a service bureau without written permission;
- use aXount outputs as a substitute for required professional, legal, financial, accounting, grant, procurement, or compliance review; or
- use aXount in a way that would require aXount to become subject to laws or obligations not expressly accepted in a written agreement.
9. AI-Assisted and Automated Features
Some aXount features use assisted or automated processing to classify data, draft narratives, review grant allowability, generate account strings, recommend staffing considerations, summarize records, or support similar workflows. These features are decision-support tools and may be incomplete, inaccurate, outdated, or unsuitable for a particular context. You are responsible for reviewing outputs and confirming them against source documents, district policy, grant terms, law, professional judgment, and any required approval process. aXount does not provide legal, accounting, financial, tax, grant-management, procurement, special-education, employment, or compliance advice. Customer Data is not used to train external models.
10. Cross-App Workflows
aXount is a suite. Customer Data may be used across aXount applications when needed to provide requested workflows, such as passing staffing context into budget or grant workflows, passing grant budgets into reporting workflows, or using Portal role, district, subscription, and credit data across the suite. Cross-app workflows are limited by role, app access, tier, district authorization, product mode, and contract terms.
11. Subscriptions, Credits, Billing, and Cancellation
Free, Pro, Team, District, and other offerings may have different features, quotas, credits, exports, collaboration rights, and support levels. aXount may enforce usage limits, credit limits, soft throttles, queues, cooldowns, hard stops for specific premium actions, or upgrade prompts according to the applicable tier. aXount does not use surprise AI overage billing. Any paid plan, renewal, credit pack, add-on, or recurring subscription should be presented with the material terms available before purchase. If recurring billing is offered, cancellation instructions must be reasonably easy to find and use.
12. Intellectual Property
aXount, including its software, design, workflows, user interface, documentation, templates, code, models, prompts, processes, trademarks, service marks, logos, and other proprietary materials, is owned by IABTT or its licensors and is protected by intellectual-property laws. Subject to these Terms and your applicable subscription or agreement, aXount grants you a limited, non-exclusive, non-transferable, revocable right to access and use aXount for your internal, educational, administrative, or organizational purposes.
13. Third-Party Services and Integrations
aXount may rely on or connect to third-party services for hosting, authentication, database, storage, inference, exports, support, diagnostics, or integrations. Third-party services may be governed by their own terms or data-processing terms. You are responsible for third-party accounts, data, credentials, exports, and integrations that you authorize.
14. Confidentiality and Student Data
Each party must protect confidential information using reasonable care and at least the care it uses for its own similar information. For District / Verified Mode, student data, staff confidential data, and education records are handled according to the applicable district agreement, data-protection terms, and law. aXount does not sell student data, use student data for targeted advertising, or use student data for unrelated profiling.
15. Security
aXount maintains technical and organizational safeguards designed to protect the service and Customer Data. You must use the service in a secure manner, protect credentials, manage access appropriately, and promptly report suspected security incidents. You may not conduct security testing, vulnerability scanning, penetration testing, scraping, or load testing against aXount without prior written authorization.
16. Availability, Suspension, and Termination
aXount may update, improve, modify, suspend, replace, or retire features over time. We aim to provide reliable service, but we do not guarantee uninterrupted, error-free, or always-available operation unless a separate written agreement provides a specific service-level commitment. aXount may suspend or terminate access if you breach these Terms, fail to pay amounts owed, create security or compliance risk, process prohibited data, or if suspension is needed to protect aXount, Customer Data, users, districts, students, staff, or the public.
17. Disclaimers and Limitation of Liability
Except as expressly stated in a written agreement, aXount is provided "as is" and "as available." To the maximum extent permitted by law, aXount disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation. To the maximum extent permitted by law, aXount and its owners, officers, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Any aggregate liability cap should be set in the applicable order form, district agreement, or final counsel-approved version of these Terms.
18. Governing Law and Disputes
The governing law, venue, dispute process, and any public-entity exceptions should be specified in the applicable order form, district agreement, or final counsel-approved version of these Terms. If no separate agreement applies, these Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules, unless another jurisdiction is required by law.
19. Changes to These Terms
aXount may update these Terms from time to time. Material updates will be posted with a revised "Last updated" date. Where required by law or contract, we will provide additional notice or obtain consent. Continued use of aXount after updated Terms become effective means you accept the updated Terms.
